Terms of Service
Effective: January 31, 2025
1. Acceptance of Terms
By accessing or using FlexiBake’s software and services, you agree to be bound by these Terms of Service. If you do not agree, do not use our services.
2. Description of Service
FlexiBake provides enterprise resource planning (ERP) software designed for recipe-based food manufacturers. The service includes production management, inventory tracking, lot traceability, recipe management, route delivery, and related modules. FlexiBake is available as both a cloud-hosted and on-premise solution.
3. Account Registration & Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorised use of your account.
4. Acceptable Use
You agree to use FlexiBake only for lawful purposes and in accordance with these terms. You may not:
- Use the service to violate any applicable law or regulation
- Attempt to gain unauthorised access to any part of the service
- Interfere with or disrupt the integrity or performance of the service
- Reverse-engineer, decompile, or disassemble any part of the software
5. Intellectual Property
FlexiBake and its licensors retain all rights, title, and interest in the software, including all intellectual property rights. Your use of the service does not grant you ownership of any intellectual property.
6. Payment Terms
Fees are based on the plan selected and the number of users. Payment terms are specified in your subscription agreement. All fees are non-refundable except as expressly stated in your agreement.
7. Data Ownership & Portability
Your data belongs to you. All recipe data, production records, inventory data, customer information, and operational data you enter into FlexiBake remains your property. You may export your data at any time in standard formats. Upon termination, we will provide reasonable assistance to export your data.
8. Service Level & Availability
For cloud-hosted deployments, FlexiBake targets 99.9% uptime, excluding scheduled maintenance windows. Service level specifics are detailed in your subscription agreement. On-premise deployments are subject to your own infrastructure availability.
9. Limitation of Liability
To the maximum extent permitted by law, FlexiBake’s total liability for any claims arising from or related to the service shall not exceed the fees paid by you in the 12 months preceding the claim.
10. Termination
Either party may terminate the service agreement as specified in the subscription terms. Upon termination, your right to access the service ceases, and we will make your data available for export for a reasonable period.
11. Governing Law & Dispute Resolution
These terms are governed by the laws of the Province of Ontario, Canada. Any disputes shall be resolved through binding arbitration in Toronto, Ontario, unless otherwise agreed.
12. Changes to Terms
We may update these terms from time to time. Material changes will be communicated via email or through the service. Continued use of the service after changes constitutes acceptance of the revised terms.
